SOAR TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using the Platform, you (“User,” “Founder,” or “Participant”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform. Use of the Platform also constitutes acceptance of the SOAR Privacy Policy, incorporated herein by reference.

2. Description of Platform

SOAR provides a technology platform that enables Founders to launch blockchain-based tokens and enables Participants to discover and interact with such projects. SOAR is not: a broker, dealer, exchange, ATS, custodian, escrow agent, promoter, or token issuer; a fund manager, financial advisor, underwriter, or agent; or a marketplace for trading or settlement. SOAR does not custody funds, execute trades, or process transactions.

2.1 Self-Custodial Platform

SOAR is a self-custodial platform. SOAR does not hold or manage digital assets or funds; store or recover private keys, seed phrases, or wallet credentials; reverse blockchain transactions; or control user wallets. Users are solely responsible for wallet security. Loss of wallet access may result in permanent loss of assets.

3. No Advisory Relationship

SOAR does not provide investment, legal, tax, accounting, or compliance advice. Users must perform their own due diligence.

4. Eligibility

You must: be at least 18; not be a sanctioned party; be legally permitted to use blockchain services in your jurisdiction.

5. Verified & Curated Projects

5.1 Verified Projects

A project may be designated as Verified if the Founder completes KYC / AML / Domain verification via third-party providers and executes the SOAR Agreements: (1) Launch Agreement and (2) Debt Agreement Addendum. SOAR does not perform, access, or store verification materials.

5.2 Curated Projects

SOAR may highlight projects at its sole discretion for marketing or exposure purposes.

5.3 Verification & Curation Do Not Mean Endorsement

Regardless of project status, SOAR does not endorse, guarantee, or validate accuracy, legality, performance, or future results.

6. Equal Treatment of Projects

SOAR does not favor or discriminate among projects. Any marketing or exposure is discretionary, informational only, and not an endorsement.

7. User Responsibilities

Users are solely responsible for wallet security, token decisions, legal compliance, and posted content. Users may not upload false or unlawful content, impersonate SOAR, misuse branding, or engage in manipulative trading.

8. User-Generated Content & Chat

SOAR does not monitor or verify content or chat. Users rely on information at their own risk.

9. Passive Platform; 47 U.S.C. § 230 Immunity

SOAR is a passive platform, not a publisher or speaker. SOAR is entitled to and claims protection under 47 U.S.C. § 230 and analogous laws. SOAR is not liable for user-generated content.

10. No Market-Making, Treasury, or Exchange Services

SOAR does not provide, facilitate, or contract for market making, treasury management, liquidity services, exchange access, or price stabilization. Any such activity is solely the responsibility of projects or users.

11. No Control Over Token Use or Trading

SOAR does not control how Founders or Participants buy, sell, trade, promote, use, or distribute tokens. SOAR has no duty or ability to supervise token activity.

12. No Guarantee of Success or Value

SOAR is not responsible or liable for the success or failure of any token, project, company, founder, team, or outcome. No guarantees of value, performance, adoption, or success.

13. Assumption of Risk

Users understand blockchain risks including asset loss, volatility, regulatory changes, wallet hacks, smart contract issues, and irreversible transactions.

14. Indemnification

Users agree to defend and indemnify SOAR from all claims, disputes, losses, damages, regulatory actions, and legal fees arising from user conduct or project activities.

15. Limitations of Liability

SOAR is not liable for loss or damages related to the use of, or anything related to, the Platform.

16. Governing Law — Wyoming

These Terms are governed by Wyoming law.

17. Mandatory Arbitration; No Class Actions

All disputes must be settled via binding arbitration in Cheyenne, Wyoming. No class actions or jury trials.

18. Platform Abuse & Automated Use

You agree not to misuse, exploit, or abuse the Platform, including but not limited to: (a) the use of bots, scripts, crawlers, or other automated tools or methods; (b) attempts to artificially manipulate, simulate, or exploit Platform mechanics—such as gasless transactions, incentives, rewards, or other system features—in a manner not intended by the Platform; and (c) any activity undertaken to obtain an unfair advantage, defraud the Platform or its users, or cause harm to Platform infrastructure, economics, or intended operation. Any such abusive conduct is strictly prohibited and constitutes a material breach of these Terms. Users engaging in such conduct may have their access suspended or terminated without notice and may be held liable for all resulting losses, damages, costs, and expenses (including without limitation legal fees) incurred by the Platform, its affiliates, or other impacted users. The Platform reserves the sole right to determine, at its discretion, whether particular conduct constitutes prohibited or abusive activity. Users agree to cooperate in any investigation of suspected abuse and acknowledge that the Platform may pursue all available remedies, including legal action, recovery of damages, and reporting to relevant authorities.

19. Termination

SOAR may suspend or terminate Platform access at any time.

20. Modifications

SOAR may update these Terms at any time. Continued use means acceptance.

22. User Acknowledgment

By using the Platform, you accept these Terms, assume all risk, agree SOAR has no liability for token outcomes, waive class-action rights, and consent to arbitration and Wyoming law.
